The shareholders of the largest oil producing company Ukrnafta - the Naftogaz of Ukraine national joint stock company and the Ministry of Defense - have decided to change the type and name of the company, and also approved a new version of the charter.
This is stated in the message of Ukrnafta, Ukrainian News Agency reports.
From now on, the official name of the enterprise is JSC Ukrnafta.
The draft of the new version of the charter was developed and submitted for approval to the shareholders by the supervisory board, the majority of whose members are independent directors with international experience.
The updated document, in particular, provides for:
- transition from a sole executive body (director) to a collegial one (board);
- a clear division of powers between management bodies (general meeting of shareholders, supervisory board, board);
- expansion of the functions and role of the supervisory board, which meets the requirements of independent control;
- norms of corporate governance compliance with OECD standards and EBRD recommendations.
It is noted that the approval of the new version of the charter of JSC Ukrnafta is a key moment in the ongoing transformation process of the company.
As Ukrainian News Agency earlier reported, in 2024, Ukrnafta reduced its net profit 30.5% to UAH 16.4 billion compared to 2023.
In mid-May, the independent supervisory board of PrJSC Ukrnafta elected Financial Director Yurii Tkachuk as the person who will temporarily perform the duties of the company's director.
In November 2022, the shares of the companies Motor Sich, Ukrnafta, AvtoKrAZ, Zaporizhtransformator (ZTR) and Ukrtatnafta were alienated into state ownership for the period of martial law.
After its end, the assets may be returned to the owners or their value will be reimbursed.
