Naftogaz agrees to restructure Eurobonds for EUR 1.2 billion

Naftogaz has reached an agreement in principle with a special committee of holders of two series of Eurobonds to restructure obligations totaling about EUR 1.2 billion.

This is announced in a Naftogaz statement, Ukrainian News Agency reports.

According to the agreements in principle, the maturity of the Eurobond series will be extended until January 2032, and the dollar series until January 2033.

The agreement in principle was reached in the context of a full-scale war and unprecedented pressure on Ukraine's energy infrastructure.

In 2025 alone, the russians launched 229 strikes on Naftogaz Group facilities - more than in the previous three years of a full-scale war combined. The intensity of attacks is not decreasing now: since the beginning of 2026, the enemy has already attacked the Group's infrastructure more than 170 times.

In the future, the agreement in principle is subject to final approval by the relevant management bodies of NJSC Naftogaz of Ukraine and the relevant ministries.

As Ukrainian News Agency earlier reported, the agreements concern two issues of Eurobonds that NJSC Naftogaz of Ukraine issued with the help of a special company Kondor Finance plc, namely:

- participation bonds in the loan for the current principal amount of EUR 695 million, the original maturity of which was in 2024 and was previously extended until July 19, 2026;

- participation bonds in the loan for the current principal amount of USD 584 million, the original maturity of which was in 2026 and was previously extended until November 8, 2028.

A preliminary restructuring of these obligations was agreed at the end of July 2023.
