AMCU allows Ukrnafta to acquire from Shell 51% of company that owns 118 gas stations

On January 23, 2025, the Antimonopoly Committee of Ukraine (AMCU) granted PJSC Ukrnafta permission to acquire a 51% stake in LLC Alliance Holding (which owns a network of gas stations under the Shell brand in Ukraine), owned by the international company Shell.

This is stated in the message of the Antimonopoly Committee, the Ukrainian News agency reports.

“Permission has been granted to PJSC Ukrnafta to acquire a stake in the authorized capital of LLC Alliance Holding, which ensures an excess of 50 percent of the votes in the highest management body of the company,” the AMCU said in a message.

Ukrnafta’s message said that this decision confirms the agreement’s compliance with the requirements of the antimonopoly legislation of Ukraine.

“This will allow the state-owned enterprise to strengthen its market position to reliably meet the needs of society and the Defense Forces of Ukraine,” said Serhii Koretskyi, Director of PJSC Ukrnafta.

The report does not specify the amount of the deal.

Ukrnafta will become the majority owner of a network of gas stations, which includes 118 operating gas stations, as well as other property.

As the Ukrainian News agency earlier reported, in November 2024, PJSC Ukrnafta, part of the Naftogaz Group, and the international company Shell signed an agreement to acquire a 51% stake in Alliance Holding LLC.

In April 2024, the State Property Fund received 49% of the Shell gas station network in Ukraine for management.

The Appels Chamber of the High Anti-Corruption Court upheld the Ministry of Justice's appeal against the decision of the High Anti-Corruption Court and collected a 49% stake in the authorized capital of Alliance Holding LLC, which is indirectly owned by russian businessman Eduard Khudaynatov, as state revenue.

Shell Group considers this decision a violation of international law.

Alliance Holding is the owner of the Shell gas station network in Ukraine, which has 131 gas stations in 20 regions of Ukraine, of which 118 are operational.

The company was established in 2008 as a joint venture between Shell (51%) and Alliance Oil Ukraine (49%).

The former took over the management of the network, and the latter - the provision of its petroleum products.
